TERMS OF OPERATION AND RULES OF ENGAGEMENT

1. NATURE OF TACTICAL DEPLOYMENT
Veritas Core Lab operates exclusively as a strategic competitive intelligence and structural audit laboratory. We are not a marketing, public relations, or advertising agency. Our mandate is to provide external telemetry, isolate commercial vulnerabilities, and deliver critical-path decision roadmaps directly to executive boards (C-Level). The operational execution of these directives resides entirely with the client's internal management infrastructure, unless an explicit strategic advisory engagement is mutually agreed upon.
2. ELIGIBILITY CRITERIA AND EXCLUSIVITY (ZERO-SUM)
To guarantee the forensic rigor and analytical depth of our Smart Engine™, laboratory capacity is strictly capped at a maximum of six (6) concurrent corporate clients.
Right of Admission: We reserve the absolute right to decline Briefing requests if the organization does not meet our revenue benchmarks, if the primary counterparty is not a member of the executive board, or if we identify a lack of operational viability.
Crossfire Prevention: Veritas Core Lab will not audit or operate on behalf of two direct competitors within the same market segment simultaneously. Market board control is strictly zero-sum.
3. CONFIDENTIALITY AND NON-DISCLOSURE AGREEMENTS (NDA)
Our operations are anchored in corporate confidentiality. Before initiating any deep audit, both parties will execute a binding bilateral Non-Disclosure Agreement (NDA).
The client's internal financial and operational telemetry remains their exclusive property and is safeguarded under strict Zero-Leak protocols.
All findings, competitor vulnerabilities, and strategic models generated by Veritas Core Lab will be delivered exclusively to the designated executive board.
4. FEE STRUCTURE AND CONTRACTUAL TERMS
Given the customized architecture of our intelligence frameworks, Veritas Core Lab does not utilize automated or transactional web checkout models.
All advisory fees, disbursement schedules, and billing conditions are defined on a bespoke basis within a formal Statement of Work (SOW) following the Commercial Vulnerability Briefing.
Payments are processed via corporate bank wire or institutional invoicing, in accordance with the strict payment terms codified in the executed agreement.
5. INTELLECTUAL PROPERTY
Methodology: The analytical algorithms, diagnostic frameworks, and systems architecture of the Smart Engine™ are the exclusive intellectual property of Henry Leal and Veritas Core Lab.
Deliverables: All processed intelligence files, BLUF Executive Memoranda, and critical-path roadmaps (Kill Switches) produced specifically for the client during the engagement become the client's proprietary asset for commercial execution.
6. LIMITATION OF LIABILITY (ASYMMETRIC RISK)
Veritas Core Lab provides board-level intelligence grounded in empirical market telemetry and mathematical evidence. However, commercial execution involves external variables beyond our absolute control (macroeconomic volatility, irrational competitor behavior, public emergencies, or legislative shifts).
The client explicitly acknowledges that Veritas Core Lab delivers the strategic compass and vulnerability map; final Return on Investment (ROI) and market share capture depend strictly on the speed, precision, and operational discipline with which the client's internal executive team executes our directives.
7. JURISDICTION AND DISPUTE RESOLUTION
Any operational, contractual, or legal controversy arising from these terms shall be construed, interpreted, and governed under the laws of the State of Florida, United States. Both parties submit to the exclusive jurisdiction and venue of the competent courts located in Orlando, Florida, expressly waiving any other venue or jurisdiction.
